General information

Professor, Head of the Department of International Private and Commercial Law, Faculty of Law and Administration, University of Warsaw. Legal counsel in Warsaw, advisor to a leading law firm operating in Poland.

He specialises in commercial law, private international law, and civil law. He is an expert in commercial company law, with particular emphasis on corporate governance, corporate finance, company reorganisation, company groups, and international and European company law. He has advised leading entities and capital groups operating in Poland, including in the largest merger and acquisition transactions and the largest corporate disputes.

Author of over 100 national and foreign publications in the field of commercial law. Editor and co-author of the leading 4-volume Commentary to the Commercial Companies Code (C.H. Beck Publishing House). Author of monographs on: the law of company groupings (2012), European company law (2010), the supervisory board of a joint-stock company (2006), and the institution of share capital (2002). Co-author of the System Prawa Prywatnego, Volume 17B (joint-stock company) and Volume 9 (unnamed contracts).

From 2025, a member of the Problem Team of the Civil Law Codification Commission for Commercial Law. Leader of the project to reform the provisions of the Commercial Companies Code on company groups (2026). Deputy Chairman of the team for preparing the draft provisions on the simple joint-stock company (2016–2018) and the main author of the provisions of the Commercial Companies Code on the simple joint-stock company. Member of the Problem Team of the Civil Law Codification Commission for the reform of company law (2006–2015) and co-author of amendments to the Commercial Companies Code regarding: cross-border mergers of companies, reform of the institution of share capital of a joint-stock company, and reform of general meetings of joint-stock companies.

Member of international working groups: Informal Expert Group on Company Law and Corporate Governance at the European Commission (2020–), European Company Law Experts (2016–), and European Model Company Act Group (2013–). Scholarship holder of the Foundation for Polish Science, Max-Planck-Institut für ausländisches und internationales Privatrecht in Hamburg, Deutscher Akademischer Auslandsdienst, and the Polish-American Fulbright Commission.
